1. Grant of Rights
I, the undersigned (the “Releasor”), hereby grant to DS Media LLC, its agents, employees, licensees, and assigns (collectively, the “Producer”), the absolute, perpetual, irrevocable, and worldwide right and permission to:
Record: Photograph, film, videotape, and otherwise record my image, likeness, name, biographical information, and voice (the “Likeness”).
Edit: Use, re-use, publish, re-publish, copy, distribute, display, and create derivative works of the Likeness, in whole or in part, in conjunction with my own or a fictitious name, or in distorted form in character or form.
Exhibit: Broadcast, exhibit, and transmit the Likeness through any and all media now known or hereafter devised, including but not limited to social media platforms (Instagram, TikTok, YouTube, etc.), websites, television, film, print advertising, and promotional materials.
2. Scope of Use
I expressly understand and agree that the Likeness may be used for two distinct purposes:
On Behalf of Releasor: For the production and promotion of Releasor’s own brand, products, or services as part of the professional services provided by DS Media.
On Behalf of DS Media: For the Company’s own promotional, commercial, and trade purposes, including but not limited to the Company’s portfolio, case studies, advertisements, and "behind-the-scenes" content to demonstrate the Company’s capabilities.
3. Ownership
I acknowledge and agree that DS Media is and shall be the sole and exclusive owner of all rights, including copyright, in the results and proceeds of the recordings made hereunder. I understand that I have no interest in the copyright or any other intellectual property rights in the finished products produced by DS Media outside the direct scope of any agreed upon projects and promotions produced on direct behalf of the Releasor.
4. Waiver of Compensation and Inspection
I hereby waive any right to inspect or approve any finished product that does not directly pertain to projects produced explicitly on my behalf, the advertising copy, or the printed matter that may be used in connection therewith. I further understand that I will receive no further compensation, royalties, or other remuneration for the use of the Likeness beyond the professional relationship and services already established.
5. Release of Liability
I hereby release, discharge, and agree to hold harmless DS Media, its legal representatives, and all persons acting under its permission or authority, from any and all claims and demands arising out of or in connection with the use of the Likeness, including without limitation any and all claims for libel, defamation, invasion of privacy, right of publicity, or any other personal or proprietary right.
6. Representation
I represent that I am at least 18 years of age and have the full legal capacity to execute this release. I confirm that I am not under any conflicting contractual obligations that would prevent me from granting these rights.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Maine, without regard to its conflict of laws principles. This document contains the entire agreement between the parties and supersedes any prior understandings.
